Selection
 |
Our fees are based on 25% of the successful candidates
first years remuneration package, including any guaranteed or projected
bonus. Alternatively, a fixed fee may be agreed in advance. |

If additional candidates are hired as a result of our
introductions, we charge 25%, as above, for each candidate hired. Where we make
introductions which lead to an appointment ( when we have not been specifically
retained ), our fee is also 25% of the successful candidates first
years package. |

We invoice as follows:
i - A retainer of one third of our fees plus advertising costs
( if applicable ) at the beginning of the assignment; ii - A second
retainer of one third of our fees after 30 days ( which normally coincides with
the presentation of a shortlist ); iii - A third retainer of one third of
our fees when an offer of employment is made. Please note retained
fees are non refundable. |

For copywriting and production of an advertisement in the HMD International format, there is a standard charge per advertisement. Further
charges are agreed for additional media, colour and overseas publications.
Creative advertisements are individually priced. Media space is charged at the
publishers rate card price. |

If an assignment is cancelled or postponed before a shortlist
has been submitted, a charge will be made commensurate with the resources used
and expenditure incurred on the assignment to date. If an assignment is
cancelled or postponed after a shortlist has been submitted, half of the
contingent fee will be payable. |
 |
For advertisement-led selection, if our agreed advertising
campaign and shortlist do not lead to an appointment and if our brief is
unchanged, we undertake to re-advertise and repeat the process for no
additional retainer fee, invoicing only for additional advertising and out of
pocket expenses. If we are required to continue work on an assignment for more
than 4 months after the first advertisement, we reserve the right to charge
additional retainer fees as applicable. |

Search and
Selection - Hybrid

When we search in up to 6 target companies in addition to
advertising, we will charge either an additional fixed fee to cover the search
activity, or base our fees on 30% of the successful candidates first
years remuneration package, calculated and charged as above. |

When we agree to conduct unlimited search in addition to
advertising, our normal search fees apply ( see below ). |

Search
 |
Our search fees are based on 35% of the first years total
remuneration, including base salary, any earned or accrued bonus, expatriate
benefits, profit sharing, or other forms of incentive or remuneration earned or
accrued, received by or paid in any individuals or parties engaged through our
assistance. We estimate a fee in advance of starting an assignment and invoice
this amount in interim fees over 2 months. The first retainer fee is payable at
the beginning of the assignment, and subsequent fees at 30 day intervals
thereafter to cover our professional time as a search progresses. We may also
agree to charge a fixed fee, payable in 3 instalments as described
above. |

We aim to complete our assignments within a three-month period,
although it can take longer before the successful candidate joins your
organisation. If for some unforeseeable reason the assignment is not completed
within 3 months, we will continue the search for an additional 3 months,
charging only for recruiting related expenses. |

International
Assignments
 |
Our fees will normally be increased for international
assignments to reflect the extra professional time required to complete
them. |

Client-Generated
Candidates
 |
If a client recommends candidates from within the company or
from other sources, they shall be included as part of the search and integrated
into the full search process. Should one of them be appointed, the full fee is
payable regardless. |

Guarantee
 |
If an appointed candidate leaves the client within 6 months of
joining and HMD International is notified in writing within one month
of the candidates departure, we will re-run the assignment at no
additional fee, subject to the requirements remaining the same, charging only
for the additional advertising and out of pocket expenses incurred. Fees are
not refundable. |

Assessment Centres

For the design and running of a one-day assessment centre, HMD International charge a minimum fee of £6,000 to cover the
assessment of and reporting on a maximum of 12 candidates. A further minimum
contingent fee of £2,000 is charged for each candidate hired. |

Where we run additional assessment centres as part of the same
assignment, we charge a further fee per one day assessment centre, which is
agreed in advance. For high-volume, multiple exercises, a tailor-made fee
structure will be agreed in advance. |

Competency-Based
Interviews
 |
For positions paying salaries in excess of £30,000,
filled through the competency-based interview process, our fees are based on
25% of each successful candidates first years remuneration package,
including any guaranteed or projected bonus. For positions paying salaries
under £30,000, our fees are based on 22% of each successful
candidates first years remuneration package, subject to a minimum
fee of £5,000 for each position. Alternatively, a fixed fee may be agreed
in advance. |

Psychometric
Assessment
 |
Where a psychometric assessment is conducted as a service or in
conjunction with management selection, search or competency-based interviewing,
an additional fee will be agreed in advance, dependent on the testing required.
Basic psychometric assessment is included as part of the assessment centre
process. |

Where psychometric assessment is requested, reports are
presented for shortlisted candidates only. |

Response Handling
Only
 |
Where clients require telephone or postal response-handling
services only, a fee will be agreed, calculated on the likely volumes of
response and level of service required. |

Training /
Consultancy
 |
Where clients require training services a minimum fee of
£1,500 per day will be levied for training delivery and preparation of
materials for a maximum of 8 delegates. |

Copyright of training documentation presented during courses
will remain with HMD International. |

Expenses
 |
Any expenses incurred during the course of an assignment, such
as consultants out of pocket expenses, communication costs, including
telephone, fax and postage will be recharged to the client. We also process,
pay and recharge candidate expenses. |

References
 |
Where applicable, we will use all reasonable endeavours to
check references and confirm or verify professional or academic qualifications
and generally assess the suitability of candidates, but the absolute and sole
responsibility for such checks and assessments lies with the client. HMD International shall not be responsible for any loss or damage caused to
the client, its staff or property or any third party as a result of an
introduction or supply effected by us. |

Payment
 |
Invoices are subject to VAT, where applicable, and are payable
14 days after the date of issue. Late payments are subject to charges of 3%
above the prevailing Bank of England base rate and are subject to a minimum of
10% |
 |
If an assignment is cancelled after commencement, the client
is liable for fees accrued up to that time. |

Acceptance
 |
These terms and conditions are deemed to be accepted once HMD International begins work on the assignment with the clients
agreement. |
